By accessing or using the Sentsai service you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the service.
If you are using Sentsai on behalf of an organization (such as your employer), you represent and warrant that you have the authority to bind that organization to these Terms, and the word "you" in these Terms refers to that organization. If you do not have such authority, you may not use the service.
Sentsai is a Microsoft 365 licensing audit tool. When you grant access, Sentsai connects to your Microsoft 365 tenant via the Microsoft Graph API using OAuth 2.0 delegated permissions that you explicitly authorize. Sentsai then analyzes license assignments, security configuration settings, and usage patterns across your tenant, and produces a written report identifying potential cost savings and compliance gaps.
The service is provided on an annual subscription basis, as described in Section 6. Each report covers a single point-in-time scan of your tenant. Reports are advisory only and do not constitute professional financial, legal, or compliance advice.

Sentsai reserves the right to suspend or terminate your access if we reasonably believe any of the above conditions are being violated.
First-year fee. Your first payment is calculated as 5% of the identified annual savings in the report you unlock, subject to a minimum fee of $99 USD. All fees are stated in US dollars and are exclusive of any sales, use, value-added, GST/HST or similar taxes. Where we are required to collect such a tax, it will be shown separately at checkout and added to the fee. The fee reflects the value delivered, not the cost of processing. This savings-based fee applies to an organization's first subscription only. Once your organization has held a subscription, every subsequent 12-month term is charged at the flat annual rate described below, whether you renew continuously or start a new term after a lapse.
What your payment grants (12-month subscription). Payment activates a subscription for twelve (12) months from the date of purchase. During your subscription you may run unlimited scans of your organization (subject to a reasonable daily fair-use limit to prevent abuse), and every report is unlocked automatically with no per-report fee. Any report unlocked during your subscription remains available for you to view and download for the duration of your data-retention period (see the Privacy Policy), and any report you download is yours to keep, even after your subscription ends.
Renewal (year 2 and beyond). After the initial 12 months, your subscription renews for a further 12-month term at a flat annual fee based on the size of your organization, starting at $99/year and increasing in bands for larger organizations. Size means the total number of user accounts in your Microsoft 365 directory (reported to you as “Users analyzed” on each report), which includes guest, disabled and unlicensed accounts and is not the number of paid Microsoft licenses you hold. The applicable band is determined by the largest such count observed during your then-current term. The current bands are published in full at sentsai.com/pricing. Automatic renewal is optional and off by default. Unless you expressly choose automatic renewal, your subscription does not auto-renew: your access simply expires at the end of the term unless you choose to renew, and we will remind you by email approximately 30 days before it expires. If you opt in to automatic renewal (at checkout, or later from your billing page), the following applies: approximately 30 days before your term ends we will email you the exact renewal amount, calculated from the published bands above based on your directory size; on or about the expiry date we will charge that amount to the payment method you saved with our payment processor, Stripe, and your subscription will extend for a further 12 months. You may turn off automatic renewal at any time from your billing page, effective immediately for any renewal not yet charged. We will never charge a renewal without having first sent you the notice stating its amount. If a renewal charge fails, we retry once; if it still fails, your subscription simply expires as described above and we notify you. Saved payment methods are held by Stripe - Sentsai never stores your card details. Each automatic renewal is a purchase to which the refund terms below apply.
When your subscription ends. If you do not renew, your subscription expires at the end of the term. Reports you unlocked during the term remain readable (subject to the data-retention period); you may still run a free scan and see a summary of findings, but new full reports will require a new subscription.
Identified savings are calculated using Microsoft's standard commercial list prices (ERP) in USD at the time of the scan. Promotional pricing, time-limited discounts, trial credits, Microsoft Action Pack benefits, CSP partner margin, volume discounts, and individually negotiated EA or MCA rates are not factored into the savings calculation. If your organization pays less than standard list price for any license, the savings figure shown in your report may overstate your actual opportunity. Sentsai's fee is based on the savings figure in the report, not on savings you are ultimately able to realize.
Free scans without a subscription. Running a scan and viewing a summary of findings is free, subject to a monthly scan allowance per organization that resets at the start of each calendar month (UTC). Unlocking a full remediation report requires a subscription as described above. An active subscription lifts the monthly allowance (subject to the daily fair-use limit). We may adjust allowance and fair-use levels with notice under clause 15.
Payment is processed by Stripe. By providing payment details you agree to Stripe's terms of service. Sentsai does not store payment card details.
Subscription fees are otherwise non-refundable. If you experience a technical failure that prevents you from using the Service you have paid for, contact billing@sentsai.com and we will investigate and, where appropriate, issue a refund or resolve the issue.
Introductory satisfaction guarantee (limited time). Notwithstanding the non-refundable policy above, for a limited introductory period Sentsai offers a satisfaction guarantee: if you are not satisfied, you may request a full refund of your subscription fee within seven (7) days of purchase by emailing billing@sentsai.com with a brief description of how the Service fell short of your expectations. A refund ends your subscription: your access to run scans and unlock new reports stops, and reports unlocked under the refunded subscription are re-locked. Approved refunds are issued to the original payment method. This is a temporary introductory offer that Sentsai may modify or withdraw at any time; any change applies only to purchases made after it takes effect, and purchases made while the guarantee is in effect remain covered by its terms.
We reserve the right to change our pricing methodology or fee levels. We will provide at least 30 days' notice of any material pricing changes via email to the address associated with your account or via an in-app notification.
Email communications. By creating an account you agree to receive service (transactional) emails necessary to provide the Service, such as report-ready notices and subscription renewal reminders. Receipts for card payments are issued by our payment processor, Stripe. We may also send occasional product and re-audit reminder emails; you can opt out of these marketing emails at any time using the one-click unsubscribe link included in every such message, without affecting service emails. See the Privacy Policy for details.
Sentsai and its licensors retain all intellectual property rights - including copyright, trade marks, database rights, and know-how - in the Sentsai service, software, user interface, documentation, and the methodology used to produce reports. Nothing in these Terms transfers any such rights to you.
You retain ownership of your Microsoft 365 data. Sentsai does not claim any ownership interest in the data retrieved from your tenant.
Sentsai's analysis reports are licensed to you on a non-exclusive, non-transferable basis for your internal business use only. You may share reports internally within your organization but may not republish, redistribute, or resell report content, in whole or in part, to any third party without our prior written consent.
Our Privacy Policy and Data Processing Agreement govern how we handle all data processed in connection with the service, and are incorporated into these Terms by reference.
For the purposes of the UK GDPR and EU GDPR: you are the data controller for the Microsoft 365 user data in your tenant; Sentsai is the data processor acting on your instructions. You confirm that you have an appropriate legal basis to authorize Sentsai to process the Microsoft 365 data in your tenant as described in the Data Processing Agreement.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.
SENTSAI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT OF THIRD-PARTY RIGHTS; AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, SENTSAI MAKES NO WARRANTY THAT:
SENTSAI'S FINDINGS ARE ADVISORY ONLY. THE DECISION TO ACT ON ANY RECOMMENDATION RESTS ENTIRELY WITH YOU AND YOUR ORGANIZATION. YOU SHOULD INDEPENDENTLY VERIFY ANY MATERIAL FINDINGS BEFORE TAKING ACTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not allow the exclusion or limitation of certain categories of liability. In those jurisdictions, Sentsai's liability is limited to the fullest extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Sentsai and its officers, directors, employees, contractors, and agents (each an "Indemnified Party") from and against any and all claims, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:
Sentsai reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You may not settle any claim without Sentsai's prior written consent.
The Sentsai service integrates with or relies upon the following third-party services:
Sentsai is not responsible for the availability, performance, accuracy, security, or terms and conditions of any third-party service. In particular, downtime or disruption of the Microsoft Graph API may affect the availability or completeness of a scan; Sentsai is not liable for any delays, data gaps, or service unavailability resulting from third-party service issues.
Either party may terminate the agreement formed by these Terms at any time by providing written notice.
Upon termination:
These Terms and any dispute or claim arising out of or in connection with them are governed by, and shall be construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
The parties irrevocably agree that the courts of the Province of Ontario, Canada shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
US customers: If you are contracting on behalf of a US entity, you agree that Ontario courts have jurisdiction and you waive any objection to that jurisdiction. Nothing in this clause affects any mandatory consumer protection rights you may have under the laws of your state.
California customers: Our obligations under the California Consumer Privacy Act (CCPA/CPRA) are set out in our CCPA Service Provider Addendum, which forms part of this agreement when you are a California-based business or process personal information of California residents.
If you are a consumer (i.e., a natural person acting outside the course of a trade or profession), nothing in this clause affects your right to bring proceedings in the courts of your country of habitual residence, nor does it deprive you of any mandatory consumer protection rights you may have under the laws of that country.
Sentsai may update or replace these Terms from time to time. We will provide at least 30 days' advance notice of any material changes via email to the address associated with your account or via an in-app notification.
Your continued use of the Sentsai service after the effective date of the updated Terms constitutes your acceptance of those Terms. If you do not accept the new Terms, you must stop using the service before the effective date. You can always find the current version of these Terms at www.sentsai.com/legal/terms.
Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable (or, if modification is not possible, severed), and the remaining provisions shall continue in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Sentsai to be effective.
Entire agreement. These Terms, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Sentsai with respect to the subject matter herein and supersede all prior and contemporaneous agreements, representations, and understandings of any kind.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Sentsai may assign its rights and obligations (including in connection with a merger, acquisition, or sale of assets) without restriction.
